A corporate management structure forms the basis for the chain of command between a company and its employees. Outside directors can also contribute important perspectives that complement the knowledge and experience of inside directors.
Larger corporations may establish two-tier boards, with a management board in charge of daily activities and a supervisory board which is responsible for approving budgets and monitoring major corporate initiatives and projects. Two tiers of boards can enable the separation of managerial and executive duties. It also helps reduce the likelihood of conflicts of interest by limiting the number of board members who are directly responsible for managing the company.
